1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of the INVA application and related services (the “Service”). By installing, accessing, or using INVA, you (“you”, “merchant”) agree to these Terms. If you do not agree, do not use the Service. Use INVA in compliance with these Terms, the Privacy Policy, and the DPA, incorporated by reference.

2. The Service

INVA is an inventory management application for Shopify merchants. It connects to your Shopify store (and optionally GA4) to calculate reorder metrics, surface sales opportunities, and present plain-language summaries.

INVA is advisory only. It provides recommendations and insights. You always decide whether to act on them. INVA does not take automated actions on your store and does not place orders on your behalf.

3. Eligibility

You must: operate a store on the Shopify platform; be at least 16 years old and able to form a binding contract; comply with the Shopify Terms of Service and applicable laws.

4. Your account and store connection

You access INVA through your Shopify account and are responsible for its security and all activity under your account. By connecting your store, you authorize INVA to access your store and analytics data through official APIs.

5. Plans, billing, and free trial

  • INVA offers a free plan and one or more paid plans. Features and prices are described on our Shopify App Store listing.
  • All paid plans are billed through Shopify’s billing system. We do not collect or store your payment card details.
  • We may offer a 14-day free trial for a paid plan (e.g. when upgrading from the free plan). Unless cancelled before the trial ends, your plan converts to a paid subscription.
  • We may change plans and prices with reasonable notice; changes will not affect your current billing cycle.

6. Cancellation and refunds

  • You may cancel at any time by uninstalling INVA from your Shopify admin.
  • Fees already charged are non-refundable, except where required by law. No partial or pro-rated refunds for unused time.

7. Recommendations are not guarantees

  • INVA’s metrics, reorder points, and recommendations are estimates — not guarantees of future sales, demand, or business outcomes.
  • AI-generated summaries may occasionally be incomplete or inaccurate.
  • You are solely responsible for your business decisions, including how much inventory to order. INVA is not liable for losses arising from purchasing decisions, stockouts, overstock, or reliance on its recommendations.

8. Acceptable use

You agree not to: use the Service unlawfully or violate others’ rights; reverse engineer, copy, resell, or create derivative works (except as permitted by law); interfere with or disrupt the Service or gain unauthorized access; process data you are not authorized to process.

9. Intellectual property

The Service is owned by Inva Labs. We grant you a limited, non-exclusive, non-transferable right to use it. Your data remains yours — we claim no ownership of your store data.

10. Third-party services

INVA relies on Shopify, Google (GA4), and Anthropic (AI). Your use of those services may be subject to their own terms. We are not responsible for third-party services.

11. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not warrant it will be uninterrupted, error-free, or that metrics will be accurate.

12. Limitation of liability

  • No liability for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, data, or goodwill.
  • Our total liability will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

13. Term and termination

Applies while you use the Service. You may terminate by uninstalling. We may suspend/terminate for violations or to protect the Service. On termination, your data is deleted or anonymized within 30 days.

14. Changes to these Terms or the Service

We may update these Terms. Material changes posted with a new “Last updated” date and notified in-app where appropriate. Continued use means acceptance.

15. Governing law

Governed by the laws of the State of Israel. The competent courts of Tel Aviv have exclusive jurisdiction, except where consumer-protection law grants you rights elsewhere.
